TELEHEALTH SERVICES ARE INTENDED ONLY FOR NON-EMERGENCY MEDICAL CONDITIONS AND ARE NOT A SUBSTITUTE FOR EMERGENCY CARE. We respect the importance of confidentiality and privacy regarding your personal and health information. Please refer to our Privacy Policy to understand how we collect, use, and disclose your information.

Introduction

These Terms of Use (“Terms”) govern your access to and use of the website operated by Next Level Longevity Clinic (“Clinic,” “we,” “us,” or “our”), including all associated services, features, content, and applications (collectively, the “Services”). By accessing or using the Services, you agree that these Terms form a legally binding agreement between you and Next Level Longevity Clinic. The Services may include access to telehealth platforms, licensed healthcare providers, affiliated medical groups, pharmacies, laboratories, and other third-party service providers who assist in delivering care and related services. Any services, products, or content provided through our website or affiliated platforms are subject to these Terms and any additional policies referenced herein. By using the Services, you confirm that you have read, understood, and agree to be bound by these Terms of Use. If you do not agree, you must discontinue use of the Services immediately.

Agreement to Terms

These Terms of Use constitute a legally binding agreement between you (“you” or “user”) and Next Level Longevity Clinic. These Terms, together with our Privacy Policy and any other policies referenced herein, govern your access to and use of the Services. Even if you access the Services through a third-party platform or referral source, these Terms apply directly between you and Next Level Longevity Clinic. By using the Services, you agree that you have read and accepted all Terms and policies referenced herein. IF YOU DO NOT AGREE TO THESE TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND MUST DISCONTINUE USE IMMEDIATELY. ANY ADDITIONAL OR CONFLICTING TERMS SUBMITTED BY YOU ARE HEREBY REJECTED AND SHALL HAVE NO FORCE OR EFFECT. We may update or modify these Terms at any time in our sole discretion. When changes are made, the “Last Updated” date will be revised. It is your responsibility to review these Terms periodically. Continued use of the Services after updates constitutes acceptance of the revised Terms. If you do not agree with any updated Terms, your sole remedy is to stop using the Services.

Requirements for Use

You must have access to a compatible computer, smartphone, or other mobile device, along with a stable internet connection and any required software or applications in order to access and use the Services. Standard data, internet, and mobile carrier fees may apply. You are solely responsible for any such charges incurred through your use of the Services.

Your Relationship with Next Level Longevity Clinic

Next Level Longevity Clinic does not directly provide medical services. The Services offered through this website may include access to one or more independent, licensed medical groups and healthcare organizations (“Medical Groups”), as well as licensed healthcare providers (“Providers”) who deliver telehealth-based healthcare services (“Healthcare Services”). These Providers are independent practitioners who may be employed by or contracted with affiliated Medical Groups that coordinate care through the Services. All Healthcare Services provided through the platform are the sole responsibility of the treating Provider or their affiliated Medical Group. Access to this website or Services does not, by itself, create a patient-provider relationship. A formal provider-patient relationship is established only after a Provider independently reviews your information and agrees to provide care. The Services are not intended to replace in-person medical evaluation, diagnosis, or treatment when such care is clinically necessary. In some cases, a Provider may determine that your condition requires in-person care or that telehealth is not appropriate. In such situations, you may be advised to seek alternative medical care outside of the Services. Next Level Longevity Clinic is not responsible for any medical advice, diagnosis, treatment decisions, or outcomes provided by independent Providers or Medical Groups. All clinical decisions, including whether to prescribe medication or recommend treatment, are made solely by the treating Provider in their independent professional judgment. Where Healthcare Services are provided, Providers will review patient information and determine appropriate treatment options, which may include prescribing medications when clinically appropriate, subject to applicable laws and regulations, including those governed by the Drug Enforcement Administration (DEA). All telehealth services are provided in accordance with applicable privacy and security standards, including compliance with the Health Insurance Portability and Accountability Act (“HIPAA”).

Independent Medical Judgment

Next Level Longevity Clinic is not a licensed medical provider and does not practice medicine. All medical care is provided exclusively by independent, licensed healthcare professionals and their affiliated Medical Groups. These Providers exercise independent professional judgment in diagnosing, treating, and prescribing medications or therapies. Next Level Longevity Clinic does not control, direct, or interfere with any medical decisions made by Providers or Medical Groups. You acknowledge and agree that the Clinic is not responsible for any diagnosis, treatment, prescription, or medical outcome resulting from care provided by independent Providers. Providers may, based on their clinical judgment, determine whether treatment is appropriate or whether referral to an in-person or alternative healthcare setting is necessary.

Pharmacy Services

Next Level Longevity Clinic does not operate as a pharmacy and does not dispense, fill, or ship prescription medications. Any prescriptions issued by licensed Providers are fulfilled solely by independent, third-party licensed pharmacies. You acknowledge that your relationship regarding prescription fulfillment is directly with the dispensing pharmacy and not with Next Level Longevity Clinic. The Clinic does not control pharmacy operations, dispensing decisions, or delivery timelines.

Electronic Communications

By agreeing to these Terms of Use, you consent to receive communications from Next Level Longevity Clinic electronically. These communications may include disclosures, notices, messages, reports, appointment reminders, care updates, billing information, and other service-related communications. It is your responsibility to monitor and review all electronic communications received from us. You agree that any notices, disclosures, agreements, or other communications we send electronically satisfy any legal requirement that such communications be in writing. You may choose to save or print copies of electronic communications for your records. You acknowledge and agree that Next Level Longevity Clinic shall not be held liable for any loss, claim, or consequence resulting from your failure to read or act upon electronic communications, including those containing clinical or treatment-related instructions or recommendations.

Access Rights and Prohibited Use

The Services are intended for use only in jurisdictions where such services are legally permitted. The content and Services provided through this website are not intended for distribution or use in any jurisdiction where such use would violate applicable laws or regulations or require registration not currently held by Next Level Longevity Clinic. Users accessing the Services from outside permitted jurisdictions do so at their own risk and are responsible for compliance with local laws. The Services are intended for individuals who are at least 18 years of age or who have reached the age of legal consent for healthcare services in their jurisdiction. Individuals who do not meet these requirements are not permitted to use or access the Services. You agree not to misuse the website or Services, including but not limited to attempting unauthorized access to systems, interfering with website functionality, introducing malicious code, scraping data, impersonating others, or using the Services for unlawful purposes. We reserve the right to suspend or terminate access for any violation of these Terms.

Your Protected Health Information (“PHI”)

You understand and agree that the Services are designed to facilitate the delivery of healthcare services by enabling communication, coordination, and administrative support between patients, licensed healthcare providers, medical groups, pharmacies, laboratories, and other authorized healthcare entities. This may include collection, storage, and transmission of health-related information for purposes of treatment, payment, and healthcare operations. You acknowledge that you may be asked to provide personal, medical, and health-related information, including but not limited to medical history, current conditions, medications, laboratory results, and demographic information (collectively, “Your Information”). Some of this information may constitute protected health information under applicable federal or state laws. By using the Services, you consent to the collection, use, and disclosure of Your Information to licensed healthcare providers, affiliated medical groups, pharmacies, laboratories, and other service providers as necessary to deliver care, coordinate treatment, process prescriptions, and perform related healthcare services. You acknowledge that certain third parties involved in your care, including laboratories and pharmacies, may be independent entities and may or may not be subject to HIPAA as covered entities or business associates. To the extent applicable, Next Level Longevity Clinic may act as a business associate under HIPAA when handling protected health information on behalf of affiliated medical providers or healthcare partners. Where HIPAA applies, such information will be handled in accordance with applicable privacy and security requirements. In addition, state privacy laws may apply to certain information and will be followed where required. Any information that does not qualify as protected health information under applicable law may be used or disclosed in accordance with our Privacy Policy and applicable legal requirements. De-identified data that has been processed in accordance with HIPAA standards is not considered protected health information. You acknowledge that licensed medical providers and affiliated medical groups maintain their own Notice of Privacy Practices describing how they use and disclose protected health information. By using the Services, you acknowledge receipt of or access to such notices where applicable.

Prohibited Activities

Next Level Longevity Clinic reserves the right to investigate, suspend, or terminate your access to the Services if you misuse the website or engage in conduct that is unlawful, harmful, or otherwise inappropriate in our sole discretion. You agree that you will not engage in any of the following activities in connection with the Services: impersonate any individual or entity or misrepresent your identity; use the Services for any unlawful, fraudulent, or unauthorized purpose; access or attempt to access the Services from any jurisdiction where such use is prohibited or not authorized under applicable law; use the Services to facilitate, conceal, or promote any illegal activity, including money laundering or fraud; use bots, spiders, scrapers, or any automated tools to access, extract, or reproduce content from the Services without prior written permission; collect or harvest user information, including names, emails, or health data, for unsolicited communications or marketing; interfere with, disrupt, or attempt to compromise the security, integrity, or performance of the Services or any connected systems or networks; upload, transmit, or distribute viruses, malware, or any other harmful code designed to interrupt or damage software, hardware, or telecommunications systems; forge headers, manipulate identifiers, or otherwise disguise the origin of any communication transmitted through the Services; engage in any activity that violates applicable local, state, federal, or international laws or regulations.

User Representations

By using the Services, you represent, warrant, and agree that: (1) all information you provide during registration, intake, or use of the Services is true, accurate, current, and complete; (2) you will maintain and promptly update your information to ensure it remains accurate and complete; (3) you have the legal capacity to enter into these Terms and agree to comply with them and all related policies; (4) you are at least 18 years of age or otherwise legally permitted to consent to and receive the healthcare services requested in your jurisdiction; (5) you will not use automated systems, bots, or non-human methods to access or interact with the Services; (6) you will not use the Services for any unlawful or unauthorized purpose; and (7) your use of the Services will comply with all applicable laws and regulations. We reserve the right to suspend or terminate your access to the Services if any information provided is false, misleading, outdated, or incomplete, or if you violate these Terms.

Proprietary Rights

All content, materials, features, and functionality available through the Services, including but not limited to text, graphics, logos, design elements, software, and trademarks, are the exclusive property of Next Level Longevity Clinic or its licensors and are protected under applicable intellectual property laws. You agree not to copy, reproduce, modify, distribute, transmit, display, perform, create derivative works from, or otherwise exploit any content from the Services without prior written permission from Next Level Longevity Clinic or the respective rights holder. You may not remove, alter, or obscure any copyright, trademark, or proprietary notices displayed on or within the Services.

Copyright Policy; Notice and Procedure for Making Claims of Copyright Infringement

As described above, you may not post, distribute, or reproduce in any way any copyrighted material, trademarks, or other proprietary information without obtaining the prior written consent of the owner of such proprietary rights. Next Level Longevity Clinic will terminate the accounts of repeat infringers.

Modifications to Site or Service

Next Level Longevity Clinic reserves the right at any time to modify or discontinue, temporarily or permanently, the Site (or any part thereof) with or without notice. You agree that Next Level Longevity Clinic shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Site. To protect the integrity of the Site, Next Level Longevity Clinic reserves the right at any time in its sole discretion to block users from certain IP addresses from accessing the Site.

Disclaimers

TO THE MAXIMUM EXTENT ALLOWED BY APPLICABLE LAW, NEXT LEVEL LONGEVITY CLINIC PROVIDES THE SITE ON AN “AS IS” AND “AS AVAILABLE” BASIS AND GRANTS NO WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE WITH RESPECT TO THE SITE (INCLUDING ALL CONTENT CONTAINED THEREIN), INCLUDING (WITHOUT LIMITATION) ANY IMPLIED WARRANTIES OF SATISFACTORY QUALITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. NEXT LEVEL LONGEVITY CLINIC DOES NOT REPRESENT OR WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR FREE, SECURE OR THAT ANY DEFECTS OR ERRORS IN THE SITE WILL BE CORRECTED. Limitation of Liability

To the fullest extent permitted by applicable law, Next Level Longevity Clinic, its affiliated medical providers, medical groups, pharmacies, laboratories, employees, contractors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to your use of the Site or Services. This includes, without limitation, damages for loss of profits, goodwill, data, service interruption, personal injury, or other intangible losses, even if the Company has been advised of the possibility of such damages. In all cases, the total liability of Next Level Longevity Clinic for any claim arising out of or relating to the Services shall not exceed the total amount paid by you for the Services in the twelve (12) months preceding the event giving rise to the claim. You agree that any claim or cause of action arising out of or related to your use of the Services must be filed within one (1) year after such claim arises, otherwise it is permanently barred.

Governing Law

These Terms of Use and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, United States, without regard to conflict of law principles. Any legal action or proceeding shall be brought exclusively in the state or federal courts located in Massachusetts, and you consent to the jurisdiction of such courts.

Indemnification

You agree to indemnify, defend, and hold harmless Next Level Longevity Clinic, its affiliates, medical groups, providers, pharmacies, laboratories, employees, contractors, and service partners from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to: your violation of these Terms of Use your misuse of the Services any information or content you submit your violation of any law or regulation Next Level Longevity Clinic reserves the right to assume exclusive defense and control of any matter subject to indemnification by you, and you agree to fully cooperate in such defense.

Notice

Next Level Longevity Clinic may provide notices to you through electronic means, including email, SMS, text message, telephone, or postings on the Site. You agree that any notices provided electronically satisfy any legal requirement that such communication be in writing. It is your responsibility to ensure that your contact information is accurate and up to date, and you are deemed to have received any notices that would have been delivered if your account information were accurate.

Payments

You agree to pay all fees associated with the Services, including consultations, subscriptions, treatments, prescriptions, and related healthcare services as disclosed at the time of purchase. Prices may change at any time at the discretion of Next Level Longevity Clinic. By submitting payment information, you authorize the Company and its payment processors to charge your selected payment method for all applicable fees. Payments may include charges for services provided by affiliated medical providers, pharmacies, laboratories, and other service partners acting on your behalf. You acknowledge that certain Services may be offered on a subscription basis (“Subscription Services”), and you authorize recurring billing based on the terms disclosed at the time of enrollment. You are responsible for maintaining accurate payment information. Failure to complete payment may result in suspension or termination of Services. Subscription Services may be canceled at any time through your account or by contacting support. Cancellation will take effect at the end of the current billing cycle unless otherwise stated in the applicable policy. Except as otherwise stated in the Cancellation & Refund Policy, all payments are non-refundable once services have been initiated, provided, or processed.

Termination

These Terms remain in effect while you use the Services. You may stop using the Services at any time. Next Level Longevity Clinic may suspend or terminate your access to the Services at any time, with or without notice, if we determine that you have violated these Terms, engaged in misuse of the Services, or for operational or legal reasons. Upon termination, your right to use the Services will immediately cease. Certain provisions, including but not limited to liability limitations, indemnification, and governing law, shall survive termination. We reserve the right to retain records as required by law or clinical obligations.

Entire Agreement

These Terms of Use, together with the Privacy Policy, Cancellation & Refund Policy, and any other referenced policies, constitute the entire agreement between you and Next Level Longevity Clinic regarding use of the Services. If any provision is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Failure to enforce any provision shall not be considered a waiver of that provision. No joint venture, partnership, or employment relationship is created by these Terms.

Assignment

You may not assign or transfer your rights or obligations under these Terms without prior written consent. Next Level Longevity Clinic may assign or transfer these Terms, in whole or in part, to any affiliate, successor, or third party in connection with a merger, acquisition, restructuring, or sale of assets without notice to you.
